1. The Promoter, these Rules, and the Competition Page

1.1 GoChamp is a simulated trading competition program operated by GoCharting Inc (“GoCharting”, “we”, “us”, “our”). Each running of GoChamp (a “Competition”) is described on its Competition Page. GoCharting organises and runs each Competition and funds and awards the GoChamp Prizes.

1.2 These Official Rules (the “Rules”) govern participation in each Competition. By registering for, joining, or participating in any GoChamp Challenge - whether or not you have actually read them - you confirm that you have had the opportunity to read these Rules and that you accept and are bound by them and by our decisions, which are final and binding in all matters relating to the Competition. The version of these Rules in force at any time is the version we make available (for example on the Competition Page or the GoChamp rules page), and it is your responsibility to review the current Rules before and while you participate. You may not rely on, or raise as a defence, the fact that you did not read, see, or receive these Rules or any change to them.

1.3 The specific parameters of each Competition - including the competition dates and period(s), the Prize(s) and their amounts and any eligibility conditions, the Sponsors or Promotional Partners and any Partner Rewards, the simulated starting balance, and the eligible instruments and market data - are those published on the applicable GoChamp Competition Page (the “Competition Page”), together with any rules referenced there (collectively, the “Competition Details”). Where these Rules refer to a value “stated on the Competition Page,” that published value governs for that Competition.

1.4 These Rules incorporate the GoCharting Terms of Use and Privacy Policy by reference. If there is a conflict between these Rules and the general Terms of Use in respect of a Competition, these Rules prevail for the Competition. If there is a conflict between these Rules and the Competition Details on the Competition Page, these Rules prevail except as to the specific published values described in 1.3. If there is any conflict between these Rules and any advertising, marketing, or promotional material for a Competition, these Rules prevail.

1.5 We may issue clarifications or supplementary rules for a particular Competition; those form part of these Rules when published on the Competition Page.

1.6 Sponsors and Promotional Partners. A Competition may be sponsored or supported by external exchanges, brokers, data providers, and other third parties (each a “Sponsor” or “Promotional Partner”), as identified on the Competition Page. Except for any Partner Reward that a Sponsor or Promotional Partner funds and administers itself, the Competition is administered solely by GoCharting. Sponsors and Promotional Partners are not responsible for the administration of the Competition, the selection of winners, or the funding or distribution of GoCharting Prizes, and are Released Parties under §14.

2. Definitions

Participant / you - an individual who registers for and/or joins a GoChamp Challenge.

Challenge - a single simulated trading evaluation run over the period, and on the simulated-account parameters (starting balance, instruments, limits), stated on the Competition Page, using the market data made available for the Competition.

Cohort / Competition Period - the grouping or period used to rank Participants and award Prizes for a Competition, as set out on the Competition Page (for example, a weekly cohort).

Leaderboard - a ranking of Participants by trading performance. A Competition may show one or more Leaderboards, as described on the Competition Page.

Prize - any cash prize, subscription or product prize, or other reward that GoCharting offers and awards for a Competition, as set out on the Competition Page. Partner Rewards are not GoCharting Prizes.

Partner Reward - a reward (for example, a broker commission or trading-fee credit) that a Sponsor or Promotional Partner offers, funds, and administers itself. Its terms, amount, eligible geographies, and eligibility are set and determined by that Partner, not by GoCharting.

Restricted Jurisdiction - any country or territory that is (a) subject to comprehensive economic or trade sanctions or embargo administered by the U.S. Government (including OFAC), the United Nations, the EU, the UK, or another authority with jurisdiction over us or the Participant (including, at the date of these Rules and without limitation, Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, Donetsk and Luhansk regions of Ukraine); (b) any country or territory in which running the Competition, awarding a prize, completing identity/anti-money-laundering checks, or remitting prize funds would be unlawful or, in our reasonable determination, impractical; or (c) any country or territory in which participation in the Competition or the award of a prize would require prize registration, bonding, trust arrangements, or localization.

Competition Page / Competition Details - as defined in §1.3.

Verified Winner - a Participant confirmed as eligible and paid, or payable, following the verification in §9.

3. Eligibility to Participate (playing the Challenge)

3.1 To participate you must, at the time of entry and throughout the Challenge: (a) be at least 18 years old, or the age of majority in your country/state/province of residence if that is higher; (b) hold a registered GoCharting account and have completed the mandatory account verification in §8 (including phone verification and two-factor authentication); (c) not be a resident of, or located in, a Restricted Jurisdiction; (d) not be a person subject to sanctions or export-control restrictions, or acting for or on behalf of any such person; and (e) comply with these Rules.

3.2 Excluded persons. The following may not win a Prize and may be removed from the Competition: employees, officers, directors, contractors and agents of GoCharting, any Sponsor or Promotional Partner, and their respective affiliates and any promotion/marketing/judging agencies, together with the members of their immediate family (spouse, parent, child, sibling and their spouses) and household (whether related or not).

3.3 One person, one entry. Each Participant may hold only one GoChamp account and may run only one Challenge at a time, and must finish the current Challenge before starting another. Registering or participating through multiple accounts, identities, email addresses, or verified phone numbers is prohibited (see §8).

3.4 Registration is entry; no purchase is required. No payment information is collected at registration and no brokerage account is required to participate. Where continued access to real- time exchange or premium market data after any free period requires a standard GoCharting market-data subscription, that subscription is a payment for market data - it is not an entry fee, not consideration for any Prize, and does not affect eligibility for, or chances of winning, any Prize.

4. Eligibility to Win (receiving a Prize)

Participating in a Challenge and being eligible to receive a Prize are two different things. Meeting §3 lets you play; §4, §5 and §9 govern whether you may receive a Prize.

4.1 General prize conditions. To be eligible for any Prize you must (a) satisfy §3; (b) finish the Challenge with a positive profit and loss (P&L) where the Competition Page requires it; (c) have complied with all trading and integrity rules (§8 and the Competition Details); (d) be truthfully and verifiably resident in the country you declared (§5); and (e) complete winner verification (§9) by the applicable deadline.

4.2 Open and restricted Prizes. The Competition Page sets out each Prize, its amount, and any conditions on who may win it. A Prize may be open (available to all eligible Participants) or restricted (available only to Participants who meet the additional conditions stated on the Competition Page, which may relate to country of residence or any other parameter). Where a Participant qualifies for more than one Prize, they receive only the single highest-value Prize for which they are eligible, unless the Competition Page states otherwise.

4.3 Baseline legal carve-outs (all Prizes, including open Prizes). Notwithstanding anything else, no Prize will be awarded or paid to any person who is resident in or located in a Restricted Jurisdiction, and we may withhold, withdraw, or decline to award any Prize where doing so is necessary to comply with law (including sanctions and anti-money-laundering law), where we cannot complete verification under §9, or where we cannot lawfully or practicably remit the funds. This is assessed in our sole discretion. Void where prohibited.

4.4 Subscription and product Prizes are subject to §3, §4.1(a)–(c), §4.3, and verification of identity where we consider it necessary.

4.5 Partner Rewards are governed by §7 and §11 and are offered, funded, and determined solely by the Sponsor or Promotional Partner.

5. Country of Residence - Declaration, Verification and Changes

5.1 Self-declaration is binding. Your country of residence is self-declared when you join and is not independently checked at that time. By declaring it you represent and warrant that it is true and accurate, and you accept that your declared country determines your eligibility for certain Prizes and for any Partner Reward.

5.2 Our right to verify. We may verify your identity, age, location and country of residence before, during or after a Challenge, including at payout (§9), and may cross-check your declaration against account, device, network, login and registration data.

5.3 Misdeclaration is a breach. Declaring a country of residence that is not genuinely yours - for example, to reach a Prize, Partner Reward, or geography you would not otherwise qualify for - is a breach of these Rules and may result in full disqualification with no claim to any Prize, forfeiture and reversal/clawback of any Prize already awarded, and a ban from future GoCharting competitions, in our sole discretion.

5.4 Changing your country is a discretionary privilege, not a right, and must be requested before the Competition ends. Any request to change your declared country must be made before the end of the applicable Challenge/Competition; we will not accept country-change requests after it has ended. This does not limit our own right, at our sole discretion, to reassign or disqualify a Participant at any time, including at verification. Where we consider a change request: (a) Genuine correction with proof. Where we are satisfied the original selection was a genuine mistake, we may reassign you to the correct country only on satisfactory documentary proof that your government-issued photo ID, your proof of residence, and the bank account into which any Prize would be paid all match the country you now claim (see §9). Such a correction may move you between an open Prize and a restricted Prize (for example, out of a country- restricted Prize). (b) Suspected gaming, or no proof. Where we are not so satisfied, or where the request appears intended to game the Competition, or where the required proof is not provided, we may decline the change and/or disqualify you entirely and apply §5.3.

You are not entitled to any particular outcome, to any Prize, or to be placed in any Prize category as a result of a country-change request. A change never creates an entitlement to a Prize that another Participant has already been confirmed to receive.

6. How the Competition Works

6.1 Format. Each Challenge runs over the period, and on the simulated account (starting balance and eligible instruments), stated on the Competition Page, using the market data made available for the Competition. The trading rules and limits for the Challenge (for example position, contract, drawdown, diversification and daily-activity requirements, and any positive-P&L requirement to pass) are those stated on the Competition Page; any breach of those rules terminates the Challenge and disqualifies the entry.

6.2 Periods, cohorts and prizes. Prizes are determined per the Competition Period(s) or grouping(s) (for example, cohorts) set out on the Competition Page. Once the applicable period ends and results are assessed, after the verification window, the top-ranked eligible Participant(s) are determined.

6.3 Leaderboards are provisional. Leaderboards (live and historic) are provided for information only, may update as other Participants complete their cycles, and may not be final or accurate. We may correct, revise, or remove any Leaderboard or ranking at any time, including to reflect rule breaches, disqualifications, verification outcomes, or technical error. Appearing at or near the top of a Leaderboard does not entitle you to a Prize.

6.4 Ties. Unless the Competition Details specify otherwise, ranking ties for a Prize are broken by, in order: (a) the higher qualifying P&L achieved with the fewer rule-risk events; (b) the earlier time at which the qualifying result was reached; and (c) failing which, our reasonable determination. We may, in our discretion, aggregate and divide equally the tied prize positions instead.

6.5 P&L basis; timekeeping. Unless the Competition Page states otherwise, rankings and any positive-P&L requirement are based on realized profit and loss on closed positions; any positions still open at the end of the competition period may be automatically closed and the resulting realized P&L counted. Leaderboards may update only periodically. GoCharting’s systems are the official timekeeper for the Competition.

6.6 Equal footing. All competition accounts are created with the same virtual starting balance and identical settings; account parameters are fixed and cannot be changed or reset, so every Participant competes on equal footing.

7. Prizes

7.1 Cash Prizes (funded by GoCharting). The Competition offers the cash Prize(s) set out on the Competition Page, awarded by trading performance. Amounts are as stated on the Competition Page and are expressed as “up to” amounts. The actual amount awarded may vary with participation, and we may reduce, split, withhold, or decline to award a cash Prize where participation is low, where results or entries are under integrity review, or as otherwise permitted by these Rules.

7.2 Subscription and product Prizes (funded by GoCharting). Where the Competition Page provides for them, these are awarded as stated on the Competition Page. Such Prizes have no cash value, no cash alternative, and are non-transferable.

7.3 Partner Rewards (funded by the Partner, not GoCharting). A Sponsor or Promotional Partner (for example, a broker) may offer a Partner Reward - such as a commission or trading- fee credit - to eligible participants. Partner Rewards are provided by the Partner, not by GoCharting, and only to persons the Partner supports. Eligible geographies and conditions are set by the Partner, may change without notice, and are stated on the Partner’s own website. All Partner Rewards are subject to the Partner’s own eligibility, geographic restrictions and KYC, which the Partner (not GoCharting) determines. No alternative or substitute is offered where the Partner does not support a participant. GoCharting has no control over, and accepts no responsibility for, Partner eligibility, geographic support, or a participant’s country selection. See §11.

7.4 No cash alternative; substitution. Except for the cash Prizes themselves, no Prize has a cash alternative. Prizes are non-transferable. We may substitute any Prize with one of equal or greater value if it cannot be awarded as described for any reason.

7.5 Currency and payment instrument. Cash Prizes are paid in US dollars by the method described in §9. We do not pay Prizes in cryptocurrency or to third-party or anonymous payment instruments.

7.6 Taxes are the winner’s responsibility (see §9.4).

8. Integrity, Account Security and Anti-Abuse

8.1 Mandatory phone verification and two-factor authentication. A verified mobile phone number and two-factor authentication (2FA) are required to join a Challenge and are a condition of receiving any Prize. We may require any Participant, including any prospective winner, to complete or repeat phone/2FA verification.

8.2 One account per phone number; no reuse. Only one GoChamp account may be associated with a given verified phone number. A verified phone number is non-transferable and, once associated with an account, may not be used to register or verify a different account - including after the original account is deleted or closed.

8.3 Prohibited conduct. The following are prohibited and are grounds for disqualification, removal from Leaderboards, and forfeiture/clawback of any Prize: (a) operating, or benefiting from, multiple or duplicate accounts (including accounts within the same household or controlled by associated persons); (b) collusion, coordinated entries, account or credential sharing, or trading arranged with others to affect rankings; (c) automation - bots, scripts, algorithmic or expert-advisor trading, or copy-trading - where the Competition is intended to recognise individual human traders; (d) exploiting, manipulating or “gaming” the simulated environment, fills, data, or Leaderboard; (e) use of VPNs, proxies, emulators or other tools to conceal or misrepresent your identity, device, location or country, or to circumvent eligibility or geographic restrictions; and (f) providing false, altered, or forged information or documents at any stage.

8.4 Duplicate-signal review. We may treat shared or duplicate IP addresses, devices, or hardware signatures, or other indicators of the conduct in §8.3, as grounds to investigate and, in our sole discretion, to disqualify affected entries. We aim to distinguish coordinated abuse from innocent shared networks, but the final determination is ours.

8.5 Audit and clawback. We may audit any account, entry, trade history, device and verification data, and may withhold, reverse, reclaim or refuse any Prize, at any time before or after payout, where we reasonably determine these Rules have been breached. Our determinations under this §8 are final.

8.6 Reputational and disruptive conduct. We may also disqualify any Participant whom we reasonably believe has tampered with, disrupted, or acted in bad faith or an unsportsmanlike manner toward the Competition, or whose participation or conduct could reflect negatively on the reputation of GoCharting, a Sponsor, or a Promotional Partner, and we may pursue all remedies available to us.

8.7 Leaving or deleting an account. If you delete or leave a Challenge or competition account, your results and progress are forfeited and you may not re-enter the same Competition.

9. Winner Verification and Payout

9.1 Verification is a precondition of any cash payout. Before any cash Prize is paid, a prospective winner must complete identity, residence and anti-money-laundering verification to our satisfaction. We may also require verification for other Prizes where we consider it necessary.

9.2 Required documents (cash winners). A prospective cash winner must provide, all in their own name and mutually consistent, and matching the country of residence they declared: (a) a valid, unexpired government-issued photo ID (passport, national ID card, or driver’s licence); (b) proof of residence - an official document evidencing lawful residence in the declared country; (c) proof of address dated within the last 3 months (e.g. utility bill, bank statement, or government correspondence), which must not be the same document used for (a); (d) confirmation of a bank account held in the winner’s own name in their country of residence, into which the Prize would be paid; and (e) a completed tax form (a U.S. Form W-9 for U.S. persons, or a Form W-8BEN for non-U.S. persons) and any tax identification number we are required to collect. We may additionally require a live selfie / liveness check matching the photo ID, and further information reasonably needed to verify eligibility.

9.3 Screening. We (or our processor) could elect to screen prospective winners and related parties against applicable sanctions, PEP and watchlists. A person who cannot be cleared, or who is in or resident in a Restricted Jurisdiction, will not be paid, no substitute is owed, and §4.3 applies.

9.4 Taxes. Each winner is solely responsible for all taxes (income, withholding or otherwise) and any tax-reporting obligations arising from a Prize. We may withhold or deduct amounts and issue tax forms (e.g. an IRS Form 1099 to U.S. winners) where required by law, and may make payment net of any such amounts.

9.5 Deadlines; forfeiture; roll-down. A prospective winner must respond and begin verification within 24 hours, and provide all required documents within 3 days, of our first notice (or such period as stated on the Competition Page). If a prospective winner fails to respond, fails verification, is ineligible, declines, or cannot be paid, the Prize is forfeited and we may, in our discretion, award it to the next eligible Participant or not award it at all. Unclaimed or forfeited Prizes may, in our discretion, not be awarded.

9.6 Method and currency. Verified cash Prizes are paid in US dollars to the winner’s own verified bank account. We do not pay by cryptocurrency, cash, or to any account not in the winner’s name.

9.7 Secure process. We collect payout and verification information only through our secure, verified process. We will never ask for it in reply to a marketing email or via an unofficial channel.

9.8 Affidavit and releases. We may require a prospective winner to sign a declaration/affidavit of eligibility, a liability release, and a publicity release (and any tax or compliance documents) within the claim period. Failure to return them by the deadline may result in forfeiture and roll- down under §9.5.

10. Simulated Trading; No Advice; No Relationship

10.1 GoChamp is a simulated competition. No real capital is traded and no real funds are at risk. Simulated funds and simulated profits are not real, are not exchangeable for cash, and are not paid out - cash Prizes are separate GoCharting-funded prizes governed by these Rules.

10.2 The Competition, the platform, market data, education content, Leaderboards and any commentary are provided for information and education only, are not investment, financial, trading, tax or legal advice, and are not a recommendation or solicitation to trade. Simulated performance is hypothetical, has inherent limitations, and does not represent or guarantee actual results in real-money trading.

10.3 Participation does not create any broker, dealer, fiduciary, advisory, agency, partnership, joint venture, employment or similar relationship between you and GoCharting, any Sponsor, or any Promotional Partner.

11. Partner Rewards - Provided by the Partners

11.1 Partner Rewards are offered, funded, determined and fulfilled by the Sponsor or Promotional Partner (for example, a broker), not by GoCharting. To receive a Partner Reward you must meet that Partner’s requirements (for example, be able to open and hold an account with that broker, reside in a location the Partner supports, and pass that Partner’s KYC and terms). Final eligibility for a Partner Reward is determined by the Partner, not by GoCharting. GoCharting does not publish the Partners’ eligibility lists; you should consult each Partner’s own website, which is authoritative for that Partner.

12. Publicity and Name/Likeness

12.1 As a condition of participating, you agree that we may display limited entrant information (for example a display name, country, and a masked email) on Leaderboards. As a condition of accepting a Prize, and except where prohibited by law, each winner grants GoCharting (and, where separately agreed, a Sponsor or Promotional Partner) a non-exclusive, worldwide, royalty- free licence to use their name, city/country, and (where separately agreed) likeness and statements for reasonable promotional purposes relating to the Competition, without further compensation. We will not require this where applicable law makes it a condition that cannot lawfully be imposed.

13. Privacy and Data

13.1 We process personal data and verification documents in accordance with our Privacy Policy and applicable law, including for eligibility, verification, sanctions/AML screening, prize administration, tax reporting, and fraud prevention. Verification documents are handled through our secure process and retained only as long as necessary for these purposes or as required by law.

14. Limitation of Liability; Release; Indemnity

14.1 To the maximum extent permitted by law, GoCharting, its Sponsors and Promotional Partners, and their respective affiliates, officers, employees and agents (the “Released Parties”) are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, arising from or relating to the Competition or any Prize; and the Released Parties’ total aggregate liability to any Participant is limited to that Participant’s actual, out-of-pocket costs of participating (if any).

14.2 Release. To the extent permitted by law, each Participant releases the Released Parties from any claim, loss, or damage relating to participation in the Competition or the award, receipt, use or misuse of any Prize.

14.3 Indemnity. You agree to indemnify and hold the Released Parties harmless from claims, losses, liabilities and reasonable legal costs arising from your participation, your entries, your breach of these Rules, or your violation of any law or third-party right.

14.4 No warranty. The Competition and platform are provided “as is.” We do not warrant uninterrupted or error-free operation and are not responsible for technical failures, connectivity or data issues, or events beyond our reasonable control.

14.5 Prizes “as is”. Except as required by law, Prizes are provided “as is,” with no warranty of any kind, express or implied (including merchantability, fitness for a particular purpose, and non- infringement).

15. Changes, Suspension and Cancellation

15.1 We reserve the right, in our sole discretion and to the extent permitted by law, to amend these Rules, and to modify, suspend, shorten, extend, or cancel the Competition or any period or Prize, at any time - including if fraud, abuse, technical failure, legal/regulatory reasons, or other causes beyond our reasonable control affect the integrity or administration of the Competition. Where we cancel or suspend, we may determine winners fairly from valid entries up to the point of cancellation, or not award, as appropriate. A Force Majeure Event - including fire, flood, epidemic or public-health event, natural disaster, act of God, labour dispute, war, civil disturbance, terrorism, government or regulatory action, or systems/technical failure - that prevents the Competition from being conducted as planned entitles us to modify, suspend, or terminate it. Entries that are incomplete, inaccurate, tampered with, forged, or otherwise not in compliance with these Rules are void.

15.2 Amendments and checks - at any time, without notice, immediate and retrospective. We may amend, modify, add to, replace, or supplement these Rules, and may introduce, change, or apply any eligibility, identity, residence, KYC/AML, integrity, verification, or anti-abuse check, requirement, or procedure, at any time and from time to time, in our sole discretion, during any current or future Competition, and without any prior warning, notice, or notification to you and without asking for or obtaining your consent. Any such change or check takes effect immediately when we make or publish it and, except where the law requires otherwise, applies both prospectively and retrospectively - to all Competitions (past, current and future), to your current and past entries, to results, rankings and standings, and to any Prize that has not yet been finally paid. Your entry to, or continued participation in, any Competition after a change is your acceptance of the Rules and checks then in force. You further agree that (a) making the current Rules available (for example on the Competition Page or the GoChamp rules page) is sufficient, and that we are under no obligation to notify you individually of any change or check or to seek your agreement to it; and (b) you waive any objection, defence, or claim based on your not having read, seen, or received the Rules or any change, on the Rules or a change not having appeared (or not having appeared earlier) on the website or any particular page, or on our not having asked for or obtained your consent.

16. General

16.1 Decisions final. Our decisions on all matters relating to the Competition (eligibility, rule compliance, integrity, verification, rankings, and Prizes) are final and binding.

16.2 Severability. If any provision of these Rules is held invalid or unenforceable, the remaining provisions continue in full force.

16.3 No waiver. Our failure to enforce any provision is not a waiver of it.

16.4 Assignment. You may not assign your rights under these Rules. We may assign ours to an affiliate or successor.

16.5 Entire terms. These Rules, the Competition Details, and the incorporated Terms of Use and Privacy Policy are the entire terms governing the Competition.

16.6 Language. These Rules are drafted in English; any translation is for convenience and the English version governs.

16.7 No social-media affiliation. The Competition is not sponsored, endorsed, administered by, or associated with any social-media platform (including X, Meta/Facebook/Instagram, YouTube, TikTok, Discord, Reddit, or Telegram).

17. Governing Law and Dispute Resolution

17.1 These Rules and the Competition are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles.

17.2 Confidential, binding individual arbitration; class-action waiver. Except where prohibited by law, any dispute arising out of or relating to the Competition or these Rules will be resolved by confidential, binding individual arbitration administered by JAMS under its applicable rules, seated in Wilmington, Delaware. You and GoCharting waive any right to a jury trial and any right to bring or participate in a class, collective, or representative action. To the extent a matter is not subject to arbitration, the state and federal courts located in Delaware have exclusive jurisdiction.

17.3 Nothing in this §17 limits our right to seek injunctive relief to protect the integrity of the Competition or our rights.

17.4 One-year limitation. Any claim or cause of action arising out of or relating to the Competition must be commenced within one (1) year after it arises; otherwise it is permanently barred, to the extent permitted by law.
